PROSOC TRAVEL BOOKING TERMS & CONDITIONS AND CANCELLATION POLICY
Effective Date: 09 September 2026

These Travel Booking Terms & Conditions and Cancellation Policy ("Terms") govern the purchase and booking of travel products, sports travel packages, tours, accommodation, transportation, tickets, excursions, events, and related travel services ("Trip" or "Travel Services") purchased through the ProSoc website or through another booking channel operated or authorized by ProSoc.By completing a booking through the website and selecting the acceptance checkbox confirming that you have read and agreed to these Terms, you enter into a legally binding agreement with the applicable ProSoc contracting entity identified in your booking confirmation or invoice. Please read these Terms carefully before completing your purchase.

1. CONTRACTING ENTITY
ProSoc operates through separate legal entities. The entity that is legally responsible for the applicable booking will be identified in the customer's booking confirmation and/or invoice as the "Contracting ProSoc Entity."Depending on the Trip, the Contracting ProSoc Entity may be:ProSoc Inc.444 Brickwell Ave, STE 700Miami, FL 33131USAorProSoc GmbHMiesenbacher Straße 366877 Ramstein-MiesenbachGermanyHRB 31809The booking confirmation is the controlling document for identifying the Contracting ProSoc Entity for the particular Trip.ProSoc Inc. and ProSoc GmbH are separate and distinct legal entities.ProSoc GmbH is the 100% owner of ProSoc Inc. The ownership relationship does not merge the two companies into one legal entity and does not cause the debts, obligations, contracts, liabilities, or responsibilities of one company to become the debts, obligations, contracts, liabilities, or responsibilities of the other company except where applicable law provides otherwise.

2. PAYMENT PROCESSING AND BOOKING ADMINISTRATION
The Contracting ProSoc Entity may authorize another ProSoc-affiliated company, including ProSoc Inc., to process payments, issue invoices, administer bookings, provide customer service, communicate with customers, or perform administrative functions.Accordingly, payment made to ProSoc Inc. may constitute valid payment to the Contracting ProSoc Entity where ProSoc Inc. has been authorized to collect that payment.Payment processing or customer service by a ProSoc affiliate does not, by itself, make that affiliate the contracting party for the Trip.

3. FORMATION OF THE CONTRACT
A customer may request or initiate a booking through the ProSoc website.A booking becomes binding when:1. the customer has submitted the required booking information;2. the customer has expressly accepted these Terms;3. the applicable payment or deposit has been successfully received or authorized; and4. ProSoc has accepted or confirmed the booking.ProSoc may decline a booking before acceptance where availability, payment, eligibility, documentation, minimum participation requirements, or other booking conditions cannot be satisfied. The customer's booking confirmation, invoice, and any expressly incorporated Trip-specific information form part of the agreement.

4. ELECTRONIC ACCEPTANCE
The customer agrees that selecting the acceptance checkbox, clicking an electronic acceptance button, submitting a booking through the website, or otherwise electronically accepting these Terms constitutes the customer's electronic acceptance of this Agreement. The customer agrees to conduct the transaction electronically and to receive booking confirmations, invoices, notices, amendments, and other contractual communications electronically. The customer should retain a copy of these Terms and the booking confirmation for their records.
